1. Agreement
These Terms of Service (“Terms”) describe an agreement between AskMike.AI, an MCubed company (“Provider,” “we,” “us,” or “our”) and the customer organization (“Customer,” “you”) that uses Ask Mike and related products at askmike.tools (the “Services”).
A longer MSA is on the Master Service Agreement page. If an executed MSA and these public Terms conflict, the executed MSA controls.
Questions: info@mcubedbi.net.
2. Who may use the Services
The Services are offered for business use. Customer represents that it is an organization, not a consumer, and that the person accepting these Terms has authority to bind Customer. Authorized Users must be at least 18 years old.
Access is limited to users Customer authorizes. Customer is responsible for its Authorized Users’ activity and for keeping credentials confidential.
3. The Services
Ask Mike provides business software tools, including BI, CRM, and Collections features, that Authorized Users access after signing in. Features available to a user depend on Customer’s tenant, licenses, and the access its administrator grants. We may update, add, or remove features as the product evolves, provided we do not materially reduce the core subscribed functionality except as an executed agreement allows.
We do not guarantee uninterrupted availability. Planned maintenance, third-party outages, and issues in Customer-connected data sources can affect the Services. Support is available through info@mcubedbi.net unless a separate support schedule is signed.
4. AI features
Some features use third-party models to generate suggestions, summaries, or other assistive output. Outputs may be incomplete, inaccurate, or non-unique. Customer remains responsible for reviewing outputs before relying on them, including for credit, collections, employment, or other decisions that affect people.
Using AI features may send prompts and selected context to a model provider. See AI data processing and Subprocessors. These Terms do not warrant any special vendor retention configuration, and they do not promise that model providers will not process inputs under their then-current terms.
5. Accounts and access
- Each Authorized User must keep credentials confidential and notify us of suspected unauthorized use at info@mcubedbi.net.
- Customer administrators are responsible for granting and revoking tenant, product, and tab access, including promptly removing users who leave Customer’s organization.
- We may suspend an account that we reasonably believe is compromised, used to attack the Services, or used in a way that risks other customers, after notice where practicable.
6. Customer data
Customer retains its rights in the business data it connects to or stores in the Services (“Customer Data”). Customer grants us a limited license to host, process, transmit, and display Customer Data solely to provide and secure the Services and as otherwise instructed by Customer.
Customer is responsible for having the rights, consents, and notices needed to provide Customer Data to us, for deciding which users may see it, and for not submitting prohibited or unnecessary sensitive categories of data.
A Data Processing Addendum is on the DPA page. These public Terms do not by themselves create a DPA, business-associate agreement, or similar exhibit.
7. Acceptable use
Customer agrees not to, and not to allow others to:
- Access the Services without authorization or share login credentials.
- Probe, scan, or disrupt the Services, other tenants, or underlying infrastructure.
- Use the Services to violate law or to store or transmit unlawful content.
- Submit special-category health data, children’s data, or cardholder data unless a separate written addendum expressly allows it.
- Reverse engineer the product except to the limited extent applicable law allows.
- Resell, sublicense, or provide the Services to third parties except as Customer’s written agreement expressly allows.
- Use AI features to make fully automated decisions with legal or similarly significant effects without human review.
8. Fees
Fees, if any, will be set in an Order Form or other written commercial terms. These public Terms do not create a payment obligation.
9. Intellectual property
AskMike.AI, Ask Mike, related marks, and the software are owned by us or our licensors. These Terms grant a limited, non-exclusive, non-transferable right to use the Services during Customer’s authorized subscription, solely for Customer’s internal business purposes. No other license is granted.
Feedback Customer or its users send may be used to improve the product without obligation or royalty. Customer Data remains Customer’s. AI-generated output is provided to Customer for its use, subject to third-party model terms and the disclaimers in Section 12.
10. Confidentiality
Each party may receive non-public information from the other (“Confidential Information”). The receiving party will use that information only to perform under these Terms and will protect it with at least reasonable care. Exceptions include information that is public, independently developed, or rightfully received from a third party without duty of confidentiality, and disclosures required by law after prompt notice where legally permitted.
11. Third-party services and Customer systems
The product may connect to Customer warehouses, email, or other systems Customer enables. Those systems remain governed by their own terms. We are not responsible for third-party or Customer-system failures, or for the accuracy of data Customer supplies. A working list of our subprocessors is on the Subprocessors page.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that outputs, dashboards, or recommendations are error-free, complete, or that they replace Customer’s own professional judgment.
These Terms include no certification, audit, or regulated-industry attestation. AI features are optional assistive tools, not a substitute for licensed advice.
13. Indemnity
These Terms do not create an indemnity obligation.
14. Term and termination
Access continues for the period Customer is authorized, including any Order Form term once commercial terms exist. Either party may end access as the final agreement provides. We may suspend or terminate for material breach that remains uncured after notice, or immediately for unlawful use or a security emergency.
Upon termination, Customer should export Customer Data it needs. Sections that by nature should survive (including IP, confidentiality, disclaimers, and liability) survive termination.
15. General
- These Terms, plus any executed Order Form, MSA, or DPA, will be the entire agreement for the Services.
- Neither party may assign these Terms without consent, except to an affiliate or successor in a corporate transaction, with notice.
- If a provision is unenforceable, the rest remains in effect.
- Failure to enforce a provision is not a waiver.
- Notices to Provider may be sent to info@mcubedbi.net. Notices to Customer may be sent to the administrator email on the account.
